Background
Adani Defence Systems & Technologies Ltd. (ADSTL), a wholly owned subsidiary of Adani Enterprises Ltd, has announced that it will acquire the remaining 44.6% stake in Flight Simulation Solutions Pvt. Ltd (FSSPL). It will give ADSTL complete ownership of FSSPL, hence reinforcing the company’s position in the area of defence and aviation training.
Currently, ADSTL has 55.4% ownership in FSSPL. Following the acquisition, FSSPL will be completely owned by ADSTL. The transaction will also result in an increase in ADSTL’s effective stake in FSSPL’s subsidiary, Flight Simulation Technique Centre Pvt. Ltd. (FSTC), from 72.8% to 100%. Consequently, FSTC will also be a 100 per cent subsidiary of ADSTL.
The deal was said to be declared under the SEBI listing criteria after the receipt of the required data in the 3rd week of July by Adani Enterprises.
The company completed its ₹15,000 crore Qualified Institutional Placement (QIP) in the early part of July. The board approved the offer of 5.20 crores equity shares of ₹1 each to qualified institutional buyers that fulfil the conditions of the offer. The issue price was fixed at ₹2,883 per share, which is approximately 5% below the last market price on the day of the opening.
Adani Enterprises recorded a net loss of ₹220.7 crore during the fourth quarter of FY26, as opposed to a profit of ₹3,844.9 crore during the same time the previous year. Despite this, the revenue stood at ₹32,439.3 crore, an increase of 20.3 per cent from a year ago. EBITDA stood at ₹3,731 crore, down from 13.8% a year ago compared to an 11.5% margin.
The deal is expected to further help Adani Defence strengthen its dominance over its flight simulation and pilot training operations.
